Short notes on Cyprus corporate and tax law, newest first. Each one has been read in the original and cites the provision it rests on. Longer treatments live in the knowledge base, which is written to be evergreen. This is where the dated material goes.

  1. A Cyprus company trading under a name other than its own has to register it

Section 50(γ) of the Partnerships and Business Names Law, Cap. 116, requires every company as defined in the Companies Law that carries on business under a business name which is not its corporate name, without any addition, to be registered. Registration is a statement in the prescribed form delivered to the Registrar within one month of starting the business, under section 52(1), giving the business name, the general nature of the business, the principal place of business, the company and its registered office, and the date business began.

Section 52(2) settles the question founders usually ask next. Where business is carried on under two or more business names, each of them must be stated. One company may hold several, so a brand does not need its own company and a second brand does not need a second one either.

The reason to do it is in section 62. While a person required to register has failed to, rights under any contract made in the course of that business cannot be enforced by action, whether in the firm name, the business name or otherwise. The default does not void the contract, it suspends the ability to sue on it. Section 61A separately charges up to 50 euro, plus 1 euro a day to a maximum of 250, for failing to notify changes.

Section 55 is the limit on all of it. The Registrar will not register a business name he considers undesirable, so the filter is narrower than the choice.

Find out whether Cyprus fits your plans

It starts with three questions: where your revenue comes from, what you own, and where you are tax resident. From there, the conversation is about what you are building and where you want to take it. After the call, you receive a written proposal covering the recommended structure, the implementation roadmap, and a fixed fee quote.
