Do we have to register for VAT?

More companies do than expect to. Receiving services from abroad triggers registration at a zero threshold, so a company with no Cyprus customers at all can still be required to register. Tell us what you buy and sell and to whom, and we will tell you which registrations apply before you are late for one.

Does every Cyprus company need an audit?

Every Cyprus company needs an assurance engagement by a licensed statutory auditor. From financial years beginning on or after 6 February 2026, a private company below 300,000 euro net turnover and 500,000 euro gross assets for two consecutive years can take a review engagement instead, which is lighter and cheaper. It is a smaller obligation rather than an exemption.

Can you use our existing bookkeeper or software?

Usually, yes. What matters is that the records arrive in a form the auditor can work from, and that they arrive during the year rather than after it. Where you already have that running we work with it rather than replacing it.

What if the company is not trading yet?

Then almost none of this applies yet, and you are not charged as though it did. VAT starts from the month you register, payroll from the month of your first employee. Neither appears on an invoice before that.

Can I incorporate a Cyprus company without using a licensed provider?

A company can be registered without engaging an administrative service provider, but the regulated activities that follow, including acting as registered office, providing directors or acting as nominee shareholder, may only be carried on under a licence. In practice most international founders need at least the registered office and the statutory filings, which is where the licence begins to matter.

How do I check whether a provider is actually licensed?

Ask which body supervises them and confirm it directly with that body rather than relying on a logo on a website. For practices regulated as accountants the supervising body is the Institute of Certified Public Accountants of Cyprus, which maintains the register.

Why does onboarding ask for source of funds when I am only forming a company?

Customer due diligence is a condition of the licence, not a preference of the firm. The provider must identify the beneficial owner and understand the source of funds and wealth before acting, and must keep that file current. A provider willing to skip it is either unlicensed or not complying.

Does a nominee director control my company?

A nominee director holds the legal duties of a director, which include acting in the best interests of the company and exercising independent judgement. That means they can decline to sign where an instruction would breach a duty. Day to day control of the business remains with the shareholders through the arrangements set out in the engagement.

Are dividends from a foreign subsidiary taxed in Cyprus?

Usually not. A Cyprus tax resident company receiving them is exempt under the participation exemption unless the payer is more than half engaged in investment activity and is taxed below 7.5 percent on the distributed profit. Both conditions have to be met for the exemption to be denied.

Does it matter which country the dividend comes from?

Not directly. What matters is the paying company's activity and the effective rate borne by the profit funding the distribution, rather than the jurisdiction's reputation or its headline rate.

Do I pay tax personally on dividends from my Cyprus company?

Dividends are outside income tax for individuals. Special Defence Contribution applies at 5 percent on profits earned from 2026 if you are Cyprus tax resident and domiciled, and not at all if you are non-domiciled. GESY applies either way at 2.65 percent up to the cap.

Is foreign withholding tax recoverable in Cyprus?

Where the dividend is exempt in Cyprus there is no Cyprus liability to credit it against, so relief has to come from the treaty or the directive reducing the withholding at source. That is a reason to check the position before the distribution rather than after.

Is a share sale tax free in Cyprus?

Ordinarily yes, with one qualification. From 2026, capital gains tax at 20 percent applies where at least 20 percent of the company's asset value derives from Cyprus immovable property, a threshold reduced from 50 percent. Shares listed on a regulated market of a recognised stock exchange generally remain exempt.

My structure was fine under the old property rule. Is it still?

Worth checking. The threshold moved from 50 percent to 20 percent for 2026, so a company that was comfortably outside the charge may now be inside it. Where a group is near the line there are usually workable options, and they are far easier to arrange before a sale is under way.

Does selling my software trigger 15 percent corporate tax?

Not necessarily. Profits from the disposal of intellectual property of a capital nature are generally exempt. The 15 percent charge applies where the disposal is an integral part of the company's recurring commercial activity, meaning developing and selling IP is what the business does.

How do I know whether a disposal is capital or trading?

It turns on the facts: how often the company disposes of intangibles, whether the asset was developed for use or for sale, how long it was held, and how the accounts and board records treat it. The position is much stronger when it has been documented consistently over time.

What happens to the cash after an asset sale?

It stays in the company and extraction is a separate step. A dividend to a Cyprus resident and domiciled individual carries Special Defence Contribution at 5 percent on profits earned from 2026, while a non-domiciled resident is outside that charge and pays only the GESY contribution.

Can a buyer be persuaded to accept a share sale?

Frequently, where the company is clean. Complete statutory records, unqualified audited accounts, clear IP assignments and a coherent tax history remove most of the inherited risk a buyer is pricing, and that is what makes the case rather than a concession on price.

How quickly can the company start receiving payments?

Through a regulated electronic money institution, commonly three to five working days from a complete file, and that is the usual route to trading. A traditional bank takes four to five weeks where the beneficial owner is resident in the EU and seven to ten weeks where they are not.

Do we need a traditional bank as well?

Often not. For a business receiving payments from customers and paying suppliers within the single market, an electronic money institution account does the work. A bank becomes necessary for credit facilities, for merchant acquiring at scale, and where a counterparty or a tender requires settlement through a credit institution. Where it is needed we prepare that application alongside, so nothing waits on it.

What do you need from us to start?

The corporate documents, identification for the beneficial owners and signatories, and a description of what the business does and who it will be paid by. Most of it exists already and we assemble it. The part worth your time is the description and the expected flows, because that is what a reviewer actually reads.

Can you guarantee the account will be opened?

No. The institution applies its own criteria and reaches its own decision, independently of the provider that formed the company. What we commit to is a file prepared to the standard that institution expects and an application managed through to an answer. Where we think a profile will struggle somewhere, we say so before it is submitted and go elsewhere.

What happens if an application is declined?

Usually it reflects a mismatch between the profile and that institution's appetite rather than a verdict on the business, which is why the matching comes first and why a decline is not the end of it. We take what the review raised, adjust the file where it can be adjusted, and go to an institution better suited to it.

Which EU country has the lowest tax for SaaS?

Headline rates vary, but the effective outcome depends on the IP regime and on extraction rather than on the rate alone. Because every EU IP regime is nexus based, the lowest effective rate goes to whichever jurisdiction the company genuinely funds its development from.

Can I incorporate in a low tax state and hire engineers elsewhere?

You can, but the nexus fraction follows who funded the development and under what legal relationship. Where the engineers are employed by a different group entity, that spending dilutes the fraction, so the arrangement costs the same cash and delivers less benefit.

Does Estonia's deferral make it the best choice for a startup?

It suits a company retaining and reinvesting profits, because tax arises on distribution rather than on profit. The advantage reverses once the founder wants to extract cash, so it is a timing benefit rather than a rate benefit.

How much does the founder's own residence matter?

Frequently more than the corporate rate. The full path runs from company profit to personal bank account, and the personal charge in the founder's country of residence often exceeds the difference between two corporate rates.

Can a Cyprus subsidiary claim the deduction on a parent's software?

Only if it genuinely owns the asset and funded the development. A subsidiary that licenses in a parent's software and pays the parent for continued development has neither ownership nor nexus, and related-party development expenditure dilutes the fraction rather than building it.

Is redomiciliation the same as transferring the assets?

No. Redomiciliation moves the company itself to Cyprus, which continues as the same legal person, so the asset is not disposed of and contracts stay in place. An asset transfer is a transaction between two companies and requires valuation and transfer pricing support.

Will the country we are leaving still tax the company?

On a redomiciliation the origin jurisdiction has to permit the departure, and some impose a charge on the way out. That is a question for advisers qualified there. We state the Cyprus position on our own authority and set out what to ask them, because the answer is sometimes large enough to decide the route.

Which route preserves the strongest nexus fraction?

Redomiciliation, because the company continues as the same legal person, nothing is bought or sold, and the historical qualifying expenditure stays with the same entity. Transferring the asset is the weaker of the two, since acquisition cost enters overall expenditure without improving the numerator.

Does a Cyprus company legally require a Cyprus resident director?

No. Company law imposes no residency requirement. The requirement is a practical one arising from tax law, because corporate residency turns on where management and control are exercised.

Is one Cyprus resident director enough?

It depends on whether that director holds real authority and whether decisions are genuinely taken in Cyprus. A single resident director on a board where every substantive decision is made abroad does not establish management and control.

Can board meetings be held by video call?

Remote meetings are ordinary commercial practice, but they weaken the evidence that management and control sit in Cyprus, particularly where the participants are dialling in from other countries. The stronger position is that the decisive meetings occur in Cyprus with the resident directors present.

What happens if management and control are found to be elsewhere?

Cyprus residency can be denied or withdrawn, taking the participation exemption, the IP Box, treaty access and directive relief with it. The other jurisdiction will usually assert its own residency claim over the same company at the same time.

Do I need a Cypriot shareholder or partner?

No. There is no local shareholder requirement and a Cyprus company may be wholly owned by non-residents of any nationality.

Can I keep my ownership private?

Beneficial ownership is reported to the register and is known to the licensed provider and to the bank. A nominee shareholder changes whose name appears on the share register but does not change who is identified as the ultimate beneficial owner.

How much share capital do I need?

Companies are ordinarily incorporated with a nominal issued capital and there is no commercially meaningful minimum. Capital requirements are not the constraint on forming a Cyprus company.

If I own the company from abroad, is it still a Cyprus company for tax?

From 1 January 2026 a company incorporated in Cyprus is Cyprus tax resident unless a double tax treaty provides otherwise, so incorporation alone now sets the starting point. Where the company is directed from another country, that country may assert its own residence claim, and a treaty tie-breaker will look at where the company is effectively managed.

Can a Cyprus company claim the 120 percent R&D deduction and the IP Box?

Not on the same asset. The additional 20 percent deduction is not granted for expenditure relating to a qualifying intangible asset where the intellectual property regime has been applied in any year, including the current one. A company holding two assets can take the deduction on one and the regime on the other.

What is the Cyprus 120 percent R&D deduction?

An additional deduction of 20 percent on top of the ordinary 100 percent, for research and development expenditure incurred in the years 2025 to 2030, under Article 9(1)(d) of the Income Tax Law. The claimant must have the economic ownership of the intangible that arises or may arise from the spending.

Does claiming the Cyprus IP Box early cost me the R&D deduction?

On that asset, yes. The bar applies where the regime has been applied in any year, including the current one, so it is not limited to the year of the claim. Where an asset is still being developed and produces little income, applying the regime as soon as it is technically available can be the more expensive choice.

Does taking the R&D deduction reduce my nexus fraction?

No. The nexus fraction is built from expenditure when it is incurred, regardless of its accounting or tax treatment, so a deduction claimed or waived does not change the numerator or the denominator. Qualifying spending in those years still counts when the regime is later applied.

Is the Cyprus R&D deduction permanent?

No. The additional 20 percent applies to expenditure incurred in the years 2025 to 2030 inclusive. A development programme running beyond 2030 should not be modelled on the assumption that it continues.

Does my spouse automatically get non-dom status if I have it?

No. Domicile is assessed individually on each person's domicile of origin and residence history. Marriage neither transfers nor aligns domicile, so one spouse can hold the status while the other does not.

Can we make a joint election to be treated the same way?

There is no joint election. Cyprus assesses individuals, so each spouse claims and evidences their own position separately, and the 17 of 20 year clock runs separately for each.

Should we hold investments in the name of the non-domiciled spouse?

It can materially reduce Special Defence Contribution, but it transfers real legal ownership with consequences on separation, death and succession, and possibly in the country you moved from. It is a family decision that should not be made on the tax figure alone.

Do children affect the position?

Children take a domicile of origin at birth, ordinarily from the father, which affects their own position later in life rather than their parents'. It matters for succession planning and for their own residence decisions as adults.

Does the company keep its incorporation date?

Yes. It continues as the same legal person, so the incorporation date, the contracts, the licences and the banking history all survive. That is the difference between redomiciliation and starting again.

How long does it take?

The Cyprus side is measured in weeks, and the Registrar ordinarily responds within a month of the filing. What decides the overall timetable is the origin jurisdiction, which has to strike the company off before the permanent certificate can issue, and evidence of that must reach the Cyprus Registrar within six months of the temporary one.

Can any company redomicile to Cyprus?

Only where the law of its origin jurisdiction allows a company to leave that register and its own constitution does not prevent it. That is a question for your advisers in that jurisdiction rather than for us, and it is worth settling before anything else, because the answer decides whether this route exists at all.

What happens to intellectual property the company owns?

Nothing. It stays with the company, which is the reason redomiciliation is usually the better route for an IP owning business. Moving intellectual property between entities is a disposal, and it resets the nexus fraction the IP Box depends on.

Does Cyprus have controlled foreign company rules?

Yes. Cyprus implemented them under Article 7 of the EU Anti-Tax Avoidance Directive, as every member state was required to do, with a carve-out for entities carrying on substantive economic activity.

Will my Cyprus company be caught by CFC rules?

That usually depends on the rules of the country where the controlling shareholder lives rather than on Cyprus. A Cyprus company owned by a resident of a higher-tax country is examined under that country's regime.

What is the control threshold?

More than 50 percent of voting rights, capital or entitlement to profits, held directly or indirectly, with interests of associated enterprises aggregated.

How does the substantive activity carve-out work?

An entity carrying on genuine economic activity supported by staff, equipment, assets and premises can be excluded. It is the same evidence economic substance requires, which is why a properly built structure tends to satisfy both.

Do the rules apply if I never take a dividend?

That is precisely what they address. Where the conditions are met, income can be attributed and taxed in the parent's country whether or not a distribution is made.

Can we use the registered office as our business address?

No, and no provider's registered office can be used that way. It receives government correspondence only: the Registrar, the Tax Department, social insurance. The business correspondence address is the one that works on a website, on letterhead and invoices, and with banks and counterparties. We provide both, and most companies need both.

Our company is dormant. Do we still have to file?

Yes. The annual return, the accounts with an assurance engagement on them, and the tax return are all still due. Dormancy makes each of them shorter and cheaper to produce, and it does not remove any of them.

We are with another provider. How hard is it to move?

Straightforward, and common. The outgoing provider resigns, releases the statutory records and signs the joint secretaries' confirmation the Registrar requires, and we make the filings. We deal with them directly, so the handover is not something you have to broker.

Who actually signs the filings?

We prepare and submit them, and where we provide the officers we sign them. Where you appoint your own director , documents reach you for signature well ahead of the deadline rather than on it.

Is it 183 days or more than 183 days?

More than 183. A year with exactly 183 days in Cyprus does not satisfy this route, which in a 365-day year means at least 184 days of presence.

Do the days have to be consecutive?

No. The count is aggregate across the calendar year, so a pattern of separate stays reaches the threshold in the same way a single continuous period does.

If I meet the 183-day rule, do I still need a Cyprus property or a Cyprus company?

No. Those conditions belong to the 60-day rule. The 183-day route imposes no tie of any kind, which is why it is the simpler option for anyone able to spend that much time in Cyprus.

Can I be tax resident in Cyprus and another country in the same year?

Yes, because each country applies its own test. Where both claim you, the double tax treaty tie-breaker resolves it, looking at permanent home, then centre of vital interests, then habitual abode, then nationality.

Does the 60-day rule still exclude people who are tax resident elsewhere?

No. That condition applied until 31 December 2025 and was removed with effect from 1 January 2026. An individual treated as resident by another state can now satisfy the Cyprus 60-day rule on the remaining four conditions, and the resulting dual residency is resolved under the tie-breaker in the applicable double tax treaty.

Does a directorship on its own satisfy the Cyprus tie?

Holding an office in a Cyprus tax resident company can satisfy the condition, provided the office is not terminated during the tax year. An office that exists only on paper, with no duties performed and no remuneration or filings, invites the question of whether it exists at all.

Can I rent rather than buy the permanent residence?

Yes. The condition refers to a permanent residential property that is owned or rented. What matters is that it is available to the individual throughout the tax year, which for a rental means a lease running the full year rather than short lets arranged around the day count.

How are partial days counted?

The day of arrival in Cyprus counts as a day in Cyprus and the day of departure does not. Arrival and departure on the same day counts as one day in Cyprus, while departure and arrival on the same day counts as one day outside Cyprus.

How much does a Cyprus tax ruling cost?

1,000 euro for a standard ruling and 2,000 euro for an expedited one, set by K.D.P. 130/2016. The fee is payable on submission and proof of payment must accompany the application.

How long does a Cyprus tax ruling take?

An expedited ruling is answered within 21 working days, provided the application is complete when it arrives. A standard ruling has no stated period and is dealt with in order of receipt.

Is a Cyprus tax ruling binding?

It binds the Tax Department, as to the facts disclosed and the taxpayers named in the request, and only while the tax law behind it is unchanged. It does not bind the taxpayer, who remains free to file differently, and it does not bind the courts.

Do I need a tax ruling to claim the Cyprus IP Box?

No. Nothing in Cyprus law requires a ruling before claiming the intellectual property regime. A ruling is bought certainty, not permission.

Is a Cyprus tax ruling shared with other countries?

Cross-border rulings are exchanged automatically with other EU Member States under Directive (EU) 2015/2376, within three months following the end of the half of the calendar year in which the ruling was issued, amended or renewed. A ruling concerning exclusively the tax affairs of individuals is outside the exchange. Whether a ruling falls within scope is determined by the three questions in Section A of form T.D.219, which is also what decides whether the applicant completes the long Section B.

How do I pay the Cyprus tax ruling fee?

Circular 2016/13 specifies JCC Smart under code 911, which was the only route in 2016. It is not the route now. The fee is paid through the company's Tax Portal, where the payment record is raised and a reference produced, and settled against that reference. The company's Tax Portal credentials are therefore needed before the fee can be paid, which is worth arranging before an adviser starts rather than at the point of payment. Proof of payment must accompany the request or it is not taken into account.

When does a Cyprus tax ruling stop applying?

When the facts or conditions it was issued on change, when the legislation or regulations are amended, or when a circular affecting it is published. In the last case it ceases from the date the circular appears on the Tax Department website, with no notice to the holder. The taxpayer is separately obliged to notify the Department of any material change in the facts or in the persons party to the transaction, and a fresh or confirmatory ruling attracts the fee again.

Can I get a Cyprus tax ruling before the company is incorporated?

Yes. Form T.D.219 expressly contemplates a prospective taxpayer, giving a company planned to be incorporated as its example, and asks that information be provided as fully as possible and marked as relating to a future prospective taxpayer, and Circular 2015/13 provides for rulings on future transactions by prospective as well as existing taxpayers. The tax identification and registration numbers are requested only if they exist. On the fee, the Tax Rulings Branch confirmed in August 2026 that the Department does not mind who pays, so in practice the adviser settles it through its own Tax Portal account and invoices the client. The ruling is then checked against the facts when it is relied on rather than validated at incorporation, and it is good practice to notify the Department of the company's name once the entity exists.

Can a Cyprus tax ruling cover transfer pricing?

No. Pricing on controlled transactions is dealt with through the advance pricing arrangement procedure, which has its own fee power at Article 44A(iii) of the Income Tax Law.

What is the difference between an AIF and a RAIF?

An AIF is authorised by CySEC directly. A registered AIF is registered rather than authorised, which is faster, but it must appoint an authorised external manager and cannot be marketed to retail investors.

Is a registered AIF unregulated?

No. It operates under an authorised external manager within the same EU directive framework. Supervision is exercised through the manager rather than over the fund itself.

Can one fund run several strategies?

Yes. All three forms may be structured as umbrella funds with segregated compartments, so different strategies or investor groups sit in ring-fenced sub-funds under a single vehicle.

Why choose Cyprus over Luxembourg or Ireland?

Proportionality. A fund's fixed costs, the manager, the depositary, the audit and the administration, fall on whatever the asset base is, so they weigh heaviest on the smallest vehicles. Cyprus offers EU domicile and EU supervision, and the registered AIF reaches market by registration rather than authorisation. For a first or second fund that combination is usually what decides it.

Does a family office need a fund vehicle?

Usually not, where the capital is exclusively the family's own. A holding structure and, where succession matters, a trust ordinarily answer the question. A fund becomes appropriate once external investors are introduced.

How long does it take?

Name approval takes three to four business days, or none at all where you take a name from our list of names already approved by the Registrar. Incorporation then takes the Registrar seven to ten working days. Two to three weeks in total for most companies, and faster where a pre-approved name is taken.

Do I need to come to Cyprus?

No. Formation, the registrations that follow and the opening of a business account are all handled without you travelling. A traditional bank may want to meet a signatory, which is one of several reasons an electronic money institution is usually the faster route to a working account.

What should I compare between providers?

What every year after the first one costs. It is the larger number and it is where a cheap headline is usually recovered, so a provider clear about setting up and vague about running is telling you something. Ours is set out in full, in writing, before you engage.

Can a non-resident own the whole company?

Yes. A Cyprus private limited company can be wholly owned by non-residents with no local shareholder requirement. Beneficial ownership is disclosed to the register, which is a separate matter from who appears as shareholder.

Can a provider guarantee a Cyprus company with a bank account?

No. A licensed provider can form the company, prepare the file to the standard a bank expects and make the introduction. The account is a commercial decision by the bank, taken under its own due diligence obligations, and nothing about the incorporation obliges it to say yes. Treat any guarantee as a description of effort rather than outcome.

Can I start the bank application before the company is incorporated?

You cannot submit it, but you can assemble almost all of it. Source of wealth evidence concerns the beneficial owner rather than the company, and the business description and flow forecast concern what the company will do. Preparing those during incorporation rather than after is the single change that most shortens the overall timetable.

Does a larger opening deposit make approval faster?

No, and it commonly does the opposite. A deposit that is large relative to the described business invites proportionate scrutiny of where the money came from, which adds a line of enquiry rather than removing one. The size of the deposit is not what the review turns on.

Is an electronic money institution good enough instead of a bank?

For many early stage companies it is the correct first answer, not a consolation prize. It will not cover merchant acquiring at scale, credit facilities or counterparties whose own policies require a credit institution. One specific trap: bank reference letters from electronic money institutions are commonly not accepted, so a company that has only ever banked through one may struggle to produce the reference a traditional bank later asks for.

What is the Cyprus corporate tax rate in 2026?

Fifteen percent, for tax years beginning on or after 1 January 2026. The previous rate was 12.5 percent and applied to 31 December 2025. Material still quoting 12.5 percent for a current year predates the reform enacted in December 2025.

Is a company incorporated in Cyprus automatically tax resident in Cyprus?

From 1 January 2026 a company incorporated under the Cyprus Companies Law is treated as Cyprus tax resident unless a double tax treaty provides otherwise. That is the starting position rather than a conclusion. Where a treaty applies, the tie-breaker asks where the company is effectively managed, and a foreign authority examining the company will ask the same question.

Does a Cyprus company pay tax on dividends it receives?

Dividend income is exempt in the hands of a Cyprus company where the participation exemption conditions are met. Whether they are met depends on the facts of the holding and has to be established rather than assumed.

Does the Cyprus IP Box still give an effective rate of 2.5 percent?

No. That figure was correct while the corporate rate was 12.5 percent. With the rate at 15 percent from 1 January 2026, the best case at full nexus is approximately 3 percent. The nexus fraction determines how much of the qualifying profit reaches that treatment, so 3 percent is a ceiling on the benefit rather than a rate to expect.

Do small Cyprus companies still need an audit?

Every company still needs an assurance engagement from a licensed statutory auditor. For financial years beginning on or after 6 February 2026, a private company below 300,000 euro net turnover and 500,000 euro gross assets, in each case for two consecutive years, may opt for a review engagement under ISRE 2400 rather than a full audit. Public companies, public interest entities, regulated financial institutions and companies preparing consolidated statements are excluded from the relief.

Q1: Is economic substance required for all Cyprus companies?

Any company seeking Cyprus tax residency or treaty access must demonstrate substance. The level depends on its activities and risk profile.

Q2: Can nominee directors satisfy management and control?

Only if they are genuinely resident in Cyprus, active in governance, and capable of demonstrating real management and control.

Q3: How much substance is “enough”?

There’s no universal threshold. It depends on your industry, transaction volume, and cross-border exposure. This is why bespoke structuring matters.

Q4: How often do authorities check substance?

Cyprus Tax Department may review substance at incorporation, during annual filings, or at the request of another tax authority. Continuous documentation is critical.

What does a Cyprus holding company actually save?

Three things. Dividends from qualifying subsidiaries arrive exempt, gains on disposals of securities are outside the corporate charge, and distributions to non-resident shareholders carry no Cyprus withholding tax. Which of the three matters most depends on whether the group is holding for income or building towards a sale.

Is there a minimum shareholding or holding period?

No. The exemption does not depend on holding a set percentage or holding it for a set time. It is lost only where both anti-avoidance conditions are met at once, which is a narrower opening than it sounds, and it is tested per subsidiary rather than across the group.

Do the directors have to be in Cyprus?

The reliefs depend on the company being Cyprus tax resident, and residency follows management and control. A resident board that meets, considers and minutes supports that. A resident board that receives documents for signature does not, and the difference is visible in the records years later.

Can we move existing subsidiaries under a new Cyprus holding company?

Usually, and how it is done matters more than whether it can be. A share for share exchange, a contribution in kind and an outright transfer have different consequences in the jurisdictions the subsidiaries sit in, which is a question for advisers there as well as here.

Can I set up a Cyprus International Trust after moving to Cyprus?

Not in the same year. The settlor must not have been a Cyprus tax resident in the calendar year preceding establishment, so where a trust is part of a relocation it is settled before the move.

Does a Cyprus trust protect against forced heirship abroad?

The statute provides that a Cyprus International Trust is not void or voidable by reason of the succession or matrimonial laws of another jurisdiction. How that interacts with a specific foreign claim is a question for advice in both jurisdictions.

Is a trust a way to keep ownership private?

No. Beneficial ownership of trusts is reportable to the register maintained for that purpose and is known to the trustee, the bank and the authorities.

Does the trust need a Cyprus trustee?

Yes. At least one trustee must be resident in Cyprus for the whole duration of the trust. This is a condition of the regime, not an administrative preference.

Do I still need a holding company if I have a trust?

They do different jobs and are commonly used together. The company holds and operates the business; the trust determines what happens to the shares in it on death, incapacity or a family dispute.

Is the Cyprus IP Box an offshore arrangement?

No. It is an OECD-compliant regime built on the modified nexus approach agreed under BEPS Action 5, and it is subject to the same EU state aid and anti-avoidance framework as any other member state regime. The benefit is tied to research activity rather than to the location of ownership, which is precisely what distinguishes it from the arrangements the nexus approach replaced.

Does the company need to own the asset outright?

Ownership or an exclusive licence over the asset is required, together with documentation showing how the rights were acquired or created. Where rights were assigned by founders or contractors, the assignment chain is normally the first thing examined on a due diligence review.

Can the nexus fraction improve over time?

Yes. The fraction is cumulative, so qualifying expenditure incurred after an asset is acquired increases it in later years. A company that begins with a low fraction because it bought its technology can raise it by funding subsequent development itself.

What rate would we actually pay?

Approximately 3 percent at a nexus fraction of one, which is the best case rather than a starting point. Below full nexus the effective rate rises in proportion, and the honest answer for any particular company comes out of modelling its own expenditure history. That is the first thing we do.

Does software qualify?

Copyrighted software qualifies as a class, and so do patents, utility models and other protected technical rights. Trademarks, brand names, domain value and marketing intangibles do not. What decides the size of the benefit is not whether the asset qualifies but how much of its development the company funded itself.

Our developers are contractors abroad. Does that break it?

Not by itself. What matters is the legal relationship and who bore the cost, not where people sit. Payments to your own employees and to genuinely unrelated contractors count wherever those people are, while development outsourced to a related party dilutes the fraction even when it is performed in Cyprus.

Can we get certainty before committing?

Yes. A ruling application to the Cyprus Tax Department is available, and a priority response is issued within 21 working days. Whether it is worth taking depends on how large the position is and how novel the facts are, and we will tell you which of those applies to you.

Can we claim the 120 percent research deduction as well?

Not on the same asset. Qualifying research expenditure attracts a 120 percent deduction, available to 2030, and it cannot be claimed on expenditure relating to an asset that is claiming the intellectual property regime. Does my spouse get the same treatment?

Not by extension. Domicile is personal and each individual is assessed on their own domicile of origin and residence history. A married couple can hold different positions.

What happens when the 17 year test is met?

The individual is deemed Cyprus domiciled and Special Defence Contribution begins to apply to dividends and interest from that year. Where the domicile of origin is outside Cyprus, the paid extension introduced in 2026 can defer that point by up to ten years.

What does non-domiciled status actually remove?

Special Defence Contribution on dividends and on interest, which is the charge that would otherwise fall on a Cyprus tax resident's investment and dividend income. It does not remove the health contribution, and it does not affect income taxed as employment or as trading profit.

How many days do I need to spend in Cyprus?

Either more than 183 days in the calendar year, or 60 days under the alternative test, which also needs a Cyprus tie in the form of a business, employment or a directorship here, plus a home available to you throughout the year. The 60 day route is why the personal and corporate sides are planned together rather than one after the other.

How long does the status last?

Until you have been Cyprus tax resident for 17 of the previous 20 years. From 2026 it can then be extended by two further five year periods at 250,000 euro each. That is a long horizon rather than an indefinite one, and whether the extension is worth taking is arithmetic we run at the start rather than in year fifteen.

What does the application involve?

Evidence rather than assertion: birth certificate, tax identification number, a residency history by country and period, your parents' details, and evidence of your presence and activity in Cyprus. We assemble it and file it.

Does my spouse qualify automatically?

No, because domicile is individual and each person is assessed on their own history. A spouse very often qualifies on the same facts, and it is a separate application either way. We prepare both together.

Is the UAE free zone zero rate available to any company in a free zone?

No. It applies to qualifying income of a qualifying free zone person. Non-qualifying income above a de minimis threshold removes the entity from the regime, and the conditions include adequate substance within the free zone itself. Treating the zero rate as automatic is the most common error in this comparison.

Which is better for a SaaS company selling into Europe?

Cyprus generally, though the rate is higher. EU membership gives access to the Parent-Subsidiary and Interest and Royalties Directives, which reduce withholding on cross-border payments, and the IP Box applies to copyrighted software without a registration step. Where customers and subsidiaries are in the EU, that access usually outweighs the difference in headline rate.

Does Pillar Two change the comparison?

For groups above the consolidated revenue threshold it largely removes it. A 15 percent global minimum applies wherever profit is booked, so a 9 percent headline rate attracts a top-up charge rather than delivering a 9 percent outcome. Below the threshold the comparison stands.

Can I use both jurisdictions?

Groups do operate entities in both, typically with the Gulf entity serving regional customers and the Cyprus entity holding IP and serving the EU. That is a substance question rather than a tax one: each entity has to perform genuine functions and be directed from where it claims to be, or the structure creates two exposures instead of one.

Is Ireland cheaper because of the 12.5 percent rate?

On trading income the rate is lower. The comparison changes on other income, because Ireland charges 25 percent on non-trading income while Cyprus applies 15 percent to corporate profit regardless of character, and it changes again on extraction, where Cyprus applies no withholding on dividends to non-residents.

Which is better for a software business without patents?

Cyprus is generally the easier fit. Copyrighted software qualifies for the Cyprus IP Box on creation without a registration step, whereas the Irish Knowledge Development Box is oriented toward patented inventions and a narrower set of qualifying assets.

Does Ireland have advantages Cyprus does not?

Yes, and they are not tax advantages. Ireland has a much deeper technology employment market, which matters when the nexus fraction rewards development funded through the company's own staff, and a longer record with institutional investors and acquirers, which shortens diligence.

Are both affected by Pillar Two?

Both are EU member states implementing the global minimum tax directive, so groups above the consolidated revenue threshold face a 15 percent floor in either jurisdiction. That narrows the gap between them considerably for larger groups.

Is Malta really a 5 percent jurisdiction?

That figure describes the effective rate after a shareholder refund has been claimed and received, not a rate charged to the trading company. The company is charged 35 percent and a proportion is refunded on distribution. It is accurate as an outcome and misleading as a description of the charge.

Why does Malta usually need two companies?

The refund is paid to the shareholder on distribution. Receiving it through a holding company placed above the trading company is the ordinary arrangement, which means two entities, two sets of filings and two sets of accounts rather than one.

What is the cash flow difference in practice?

Malta requires the full 35 percent to be funded when it falls due, with the refund arriving after a distribution has been made and claimed. Cyprus charges 15 percent and nothing further. For a business reinvesting its profit rather than distributing, that gap persists.

Do both jurisdictions require the same substance?

Both require genuine management and control locally, and neither regime is available to a company directed from elsewhere. The tests are framed differently but converge on the same question of where decisions are actually taken and whether the local presence is proportionate to the activity.

Can I still get Portuguese NHR?

Not as a new applicant. The regime closed to new entrants at the end of 2023. What is available to new arrivals is IFICI, which is a different regime with an eligibility test based on carrying on an approved scientific research or innovation activity.

Is IFICI just NHR under another name?

No. It is narrower in who may claim it, it runs for up to ten years, and foreign pension income falls outside the exemption and is taxed at progressive rates. The foreign investment income exemption is broad, which is the part that most resembles the old regime.

I take dividends from my own company. Which suits me?

IFICI is unlikely to be available, because eligibility turns on carrying on an approved research or innovation activity rather than on the shape of your income. Cyprus non-domiciled status is not gated that way, and it removes Special Defence Contribution on dividends and interest entirely.

What happens to a foreign pension in each?

Portugal taxes it at ordinary progressive rates under IFICI, which is a change from the previous regime. Cyprus applies an exempt band of 5,000 euro to foreign pension income and taxes the balance.

Which has the lower corporate tax?

Cyprus at 15 percent from 1 January 2026, against Portugal at 19 percent in 2026. Portugal is on a legislated reduction path to 18 percent in 2027 and 17 percent in 2028, so the gap narrows rather than holds.

Did the UK abolish non-dom status entirely?

What does Cyprus charge on dividends?

For a Cyprus tax resident who is not domiciled here, no Special Defence Contribution arises on dividends or interest. The General Healthcare System contribution still applies at 2.65 percent on total income capped at 180,000 euro, so 4,770 euro a year at the ceiling.

Can I take only dividends from my Cyprus company?

You can, and it has consequences beyond tax. You accrue no social insurance entitlement, you have no payslip to show a lender or an authority, and you weaken the evidential record if you are relying on the 60-day rule.

Is social insurance capped?

Does a directorship alone satisfy the 60-day rule?

How is media spend treated?

It depends on the contractual position. Whether media bought in the agency's name is revenue or a pass-through follows the agreements, which is why they are worth drafting to reflect the commercial reality rather than adjusting afterwards.

Does a Cyprus company remove my VAT obligations in other EU countries?

No. VAT obligations follow where goods are held and where consumers are, not where the company is incorporated. Holding stock in a member state ordinarily creates a registration obligation there regardless of the company's domicile.

Can I use the One Stop Shop for everything?

It covers cross-border distance sales to consumers through a single return. It does not cover the obligations that arise from holding inventory in a member state, which still require local registration.

Does my brand qualify for the Cyprus IP Box?

That spending is related-party expenditure and dilutes the fraction. Moving the contracts and payroll into the IP company improves the position from that point, and because the fraction is cumulative it recovers as qualifying spending accumulates.

How is Cyprus tonnage tax calculated?

By reference to the net tonnage of qualifying vessels and the activity they are engaged in, rather than on profit. The charge therefore does not rise with earnings in a strong market and does not fall with them in a weak one.

Can ship managers use the regime?

Yes. Crew and technical management is a distinct qualifying category with its own conditions, which is why Cyprus has a substantial ship management sector alongside its registry.

Does a trust protect assets from claims?

Against foreign forced heirship rules, substantially, which is one of the strongest features of the Cyprus regime. Against a settlor's creditors, the statute sets a two year window: a transfer into the trust can be challenged within two years of it being made, and not afterwards. A trust settled with the intention of defeating a claim already in existence is a different matter and is set aside.

Can the settlor keep control?

Some, and not all. Powers can be reserved and a protector can be appointed, but a trustee who simply executes instructions is not exercising the discretion a trust depends on, and an arrangement that looks like the settlor's property in someone else's name tends to be treated as exactly that.

Can we move to Cyprus after the trust is set up?

Yes. The residence conditions are tested in the calendar year before the trust is established, and nothing stops the settlor or a beneficiary becoming Cyprus tax resident afterwards. It does change the tax position of the person who moves, which is why relocation and the trust are usually planned in that order rather than the reverse.

Is the trust taxed in Cyprus?

Income and gains of a Cyprus International Trust are outside the Cyprus charge where the beneficiaries are not Cyprus tax resident. Where a beneficiary is resident here, income attributable to them comes into charge. The position of each beneficiary is assessed individually.

What is the Cyprus VAT registration threshold?

15,600 euro of taxable supplies in any rolling 12-month period, or where you expect to exceed it within the next 30 days. Exempt supplies do not count towards it, zero-rated supplies do, and voluntary registration is available below it.

What is the difference between zero-rated and exempt?

A zero-rated supply is taxable at a nil rate and input VAT remains fully recoverable. An exempt supply is outside the tax altogether and input VAT attributable to it cannot be recovered. They look the same on an invoice and have opposite effects on cash.

What is the reverse charge mechanism?

Where the place of supply is the customer's country, the supplier charges no VAT and the customer accounts for both the output and the input VAT in their own return. It shifts the obligation from supplier to customer, and it is the ordinary treatment for business-to-business services across the EU.

What is the Cyprus VAT rate?

The standard rate is 19 percent, with reduced rates of 9 percent and 5 percent for defined categories. For many Cyprus companies the rate is not the operative question, because the supply is taxed in the customer's country rather than here.

Do I charge VAT to EU business customers?

Generally no. For business-to-business services the place of supply is ordinarily the customer's country, and the customer accounts for the VAT under the reverse charge. You still report the supply.

If I charge no Cyprus VAT, do I still register?

Frequently yes. Registration and charging are separate questions. A company making intra-community supplies registers, files periodic returns and submits VIES statements even where its Cyprus output tax is nil.

What are VIES statements?

Recapitulative statements listing intra-community supplies, with the customer VAT numbers and values. They are filed alongside VAT returns by a company supplying VAT-registered businesses in other member states.

Does the One Stop Shop cover everything?

No. It covers cross-border distance sales to consumers through a single return. It does not remove the obligations that arise from holding stock in another member state, which still require local registration.

Have the deemed dividend distribution rules been abolished?

For profits earned from 1 January 2026, yes. Undistributed profits of 2024 and 2025 remain within the rules until 31 December 2027, so both positions are live during the transition.

Did the rules apply to every Cyprus company?

No. The charge was a Special Defence Contribution provision, so it reached only shareholders who were both Cyprus tax resident and domiciled in Cyprus. Non-domiciled residents and non-resident shareholders were outside it.

Did a deemed distribution involve any actual payment?

No. That was the point of the rules. A proportion of undistributed profits was treated as though it had been paid out, and the contribution was charged on that deemed amount.

Does this affect a relocated founder with non-dom status?

No. Non-domiciled residents were always outside the Special Defence Contribution, so neither the rules nor their abolition changes the position for a founder holding non-dom status.

When does the transitional period end?

31 December 2027. Undistributed profits of 2024 and 2025 remain within the rules until then.

Are model weights themselves a qualifying asset?

Weights considered in isolation sit on less settled ground than source code, because they are generated by a process rather than authored. The stronger position frames the asset as the copyrighted training and inference system that produces and serves them, with the weights as its output.

Does fine-tuning an open-weight model disqualify the claim?

No, but it narrows what is owned to the company's own contribution: the fine-tuning code, the data pipeline, the evaluation and the serving systems. The licence governing the base model has to be read first, because it determines what may be commercialised and what rights attach to derivatives.

Does cloud compute count as qualifying expenditure?

Training and experimentation compute has a strong claim, because qualifying expenditure is research and development cost incurred wholly and exclusively for the asset. Two things qualify that. Costs which cannot be shown to be directly connected to a specific qualifying asset are excluded, so one cloud account covering training, staging and production has to be apportioned. And compute bought through a related party and recharged enters overall expenditure without entering the qualifying numerator. Compute used to serve the product to customers is an operating cost rather than development.

What if the training data was scraped?

That is a rights question before it is a tax question. A corpus assembled from third-party material may carry restrictions that affect what the company can claim to own, and it is a weaker foundation for an asset than a curated or licensed dataset.

Does a founder's salary count towards the Cyprus IP Box nexus fraction?

We treat it as outside qualifying expenditure. Regulation 4(2)(b) of K.D.P. 336/2016 admits wages and salaries but excludes amounts paid directly or indirectly to a connected person for carrying out research and development, and a founder who owns the company and writes the code is a connected person under Article 33 of the Income Tax Law. Rulings issued by the Tax Department have reached the same result on the beneficial owner and on a director of development.

Does an employed developer's salary qualify for the Cyprus IP Box?

Yes, where the developer is not connected to the company. Regulation 4(2)(b) includes wages and salaries, and the exclusion reaches only amounts paid to a connected person. Where the developer works remotely from another country the position is unchanged, because the test is the relationship rather than the location.

How much does excluding founder salary cost the nexus fraction?

More than the amount, because the cost leaves the numerator and stays in the denominator. A company with 200,000 euro of founder salary and 80,000 euro of employed development has a fraction of roughly 0.29 rather than one, so the effective rate on qualifying profit is near 11.6 percent rather than about 3.

Is the treatment of founder salary under the Cyprus IP Box settled?

No. The Regulations include wages and salaries without a carve-out and the exclusion for connected persons sits among provisions that look aimed at outsourcing, so a narrower reading is arguable. We think it loses, and the Tax Department has excluded founder payroll in rulings, but anyone relying on the point should treat it as a considered position rather than settled law and consider an advance ruling where the amounts justify one.

Does software need to be registered or patented to qualify?

No. Copyright arises automatically when the code is written, so there is no registration step and no waiting period. What has to be established instead is that the company owns the copyright, which means written assignments from every contributor including founders and contractors.

Do machine learning models qualify?

Models, algorithms and the systems built around them may qualify where they constitute a legally protected intangible asset and sufficient qualifying development activity supports them. The analysis follows the same two questions as any other software asset: is there a protected asset, and who funded its development.

Does the brand or the customer list qualify?

No. Marketing intangibles are outside the regime. Trademarks, brand names, logos, domain value and goodwill do not qualify however commercially valuable they are. The qualifying asset is the copyright in the code alone.

How much of subscription revenue counts as qualifying income?

Only the portion attributable to the qualifying asset. A subscription typically pays for the software, the hosting, the support and the brand together, and separating them is a transfer pricing exercise supported by functional analysis. It has to be documented at the time rather than reconstructed after the return is due.

Is appointing a Cyprus director enough to secure the IP Box?

No. A resident director contributes evidence toward tax residency and contributes nothing toward the nexus fraction. The two tests are cumulative, so a company can have an unimpeachable board and still receive almost no benefit if it did not fund the development itself.

Does the nexus fraction depend on where the developers physically sit?

Not directly. What matters is the legal relationship and who bore the cost. Payments to the company's own employees and to genuinely unrelated contractors qualify wherever those people are located, while development outsourced to a related party dilutes the fraction even if performed in Cyprus.

Which failure is more expensive, weak residency or weak nexus?

Weak residency. A poor nexus fraction reduces the value of one relief. Losing Cyprus tax residency removes the IP Box, the participation exemption, the treaty network and directive access at the same time, because all four depend on the same underlying fact.

How quickly can each weakness be repaired?

A residency weakness can be addressed from the next board cycle by changing where and how decisions are taken. A nexus weakness is repaired only by funding qualifying development over time, because the fraction is measured cumulatively across the life of the asset and cannot be corrected retrospectively.

How many employees does a Cyprus company need?

There is no fixed number. Substance is proportionate to the activity, value and risk carried by the company, so a passive holding company and an operating software business are not asked for the same thing. Any figure quoted as a universal minimum is describing one company's circumstances rather than a rule.

Can the directors live outside Cyprus?

A board composed of non-residents makes it considerably harder to show that management and control are exercised in Cyprus, because the test looks at where strategic decisions are actually taken. Some non-resident representation is common, but a board that never meets in Cyprus and takes its decisions elsewhere is the position most likely to be challenged.

Is a registered office and a resident director enough?

Those are inputs rather than conclusions. What is examined is whether decisions were genuinely made in Cyprus, evidenced by minutes recording real deliberation, contracts reviewed and approved locally and banking authority exercised from Cyprus. A resident director who signs documents prepared and decided elsewhere does not establish management and control.

When is substance actually tested?

It can be examined when a tax residency certificate is applied for, during annual filings, on a bank or counterparty review, or at the request of a foreign tax authority. Because the request is usually retrospective, the evidence has to have been created at the time rather than assembled afterwards.

How many employees do we need?

None, as a matter of law. There is no statutory headcount in the management and control test. What matters is proportion: a company earning materially from Cyprus arrangements needs decisions genuinely taken here, people whose work explains the income, and premises consistent with both. For many holding structures that is a working board and nothing more.

Do the directors have to live in Cyprus?

A majority resident here is the usual arrangement, and residence is evidence rather than the test itself. A resident board that meets, considers and minutes supports the position. One that receives documents for signature contributes very little, and the difference shows in the records.

What does the evidence file contain?

Board papers circulated before meetings, minutes recording what was considered rather than only what was resolved, the address arrangements, employment records where there are people, and the decisions themselves in a form that shows where they were taken.

Who ever looks at this?

A tax authority in the country a founder came from, a bank during periodic review, a buyer's advisers during diligence, or the Cyprus Tax Department when a residency certificate is applied for. None of them give notice, which is the argument for having the record already.

We already have a company. Can this be fixed?

From the next board cycle, yes, and that is usually all it takes. The record exists for a period or it does not, so the sooner the cycle starts the shorter the gap behind it. Most companies we take on start from exactly here.

Do you manage investments?

No. We administer the structures that hold them, report on the consolidated position and run the governance across every entity. Asset selection stays with your investment managers, and we coordinate with them rather than competing with them.

Our entities are in several countries. Can you still do this?

Yes. We administer the Cyprus entities directly and coordinate the others with their local providers, onto the same calendar and into the same consolidated report. That coordination is usually the part that was missing.

How many entities does this make sense for?

Fewer than most people assume. The point at which it pays is not a number of companies but the point where no single person can describe the structure from memory, which for many families is three or four entities and a trust.

Who in the family sees what?

Whatever the family decides, set out at the start and built into how reporting is distributed. Different members frequently receive different views of the same structure, and defining that is part of the governance framework rather than an afterthought to it.

Which comes first, the company or the move?

They are planned together, and the order depends on the route. A founder using the 60 day test needs a Cyprus tie, usually the company, so the corporate side leads. A founder intending to spend more than 183 days here does not, and the sequence is freer.

How long does the immigration side take?

For an EU, EEA or Swiss national, registration is due within four months of entry, costs 20 euro at the counter and is commonly decided in days. For a third country national it is a permit application rather than a registration, the counter fee is 150 euro, and the company's own registration has to be in place first.

Do I need to renew anything?

An EU registration certificate does not expire, so there is nothing annual to budget for. Third country permits and their health insurance both renew every year, for the permit holder and for each family member, and we run those renewals as a matter of course.

Can I keep a home in the country I am leaving?

Often, and it is one of the facts that decides the answer rather than a detail. Availability of a home, where your family lives and where your economic interests sit all feed the tie-breaker your current country applies. That analysis belongs with an adviser there, and we set out the questions to put to them.

Can the company employ me here?

Yes, and it is usually the cleanest way to hold the Cyprus tie. Employment income also carries its own exemptions: 50 percent where the salary exceeds 55,000 euro, or 25 percent capped at 25,000 euro on salaries above 30,000. We structure the contract and run the payroll.

Do non-domiciled residents pay GESY?

Yes. Non-dom status exempts an individual from the Special Defence Contribution, which is a separate charge. GESY contributions still apply to income within scope, including dividends.

Is there a cap on GESY contributions?

Yes, an annual ceiling of 180,000 euro of income. It applies to total income across all categories combined rather than separately to each source.

Does GESY apply to dividends?

Yes. Dividends fall within the other income category, so an individual receiving them contributes on that income up to the annual ceiling.

Is GESY a tax?

It is a contribution to a national health system under its own legislation rather than a tax under the Income Tax Law. The practical effect on cash is the same, which is why it belongs in any comparison.

What does a non-dom resident actually pay on a Cyprus dividend?

No income tax, since Cyprus does not tax dividends under income tax, and no Special Defence Contribution, since non-domiciled residents are outside it. A GESY contribution applies on income up to the annual ceiling.

Does the clock reset if I leave Cyprus for a few years?

Not exactly. The test counts years of residence within a rolling 20-year window, so years abroad reduce the count inside that window and push the deemed date outward. It is neither a reset nor a continuous countdown.

Is the extension worth 250,000?

It depends on the dividends expected over the period. At 50,000 per year it breaks even where Special Defence Contribution would otherwise be higher, which at the 5 percent dividend rate means annual dividends of roughly one million. Below that, paying the charge is cheaper than the election.

Does becoming deemed domiciled affect my residency?

No. Residency and domicile are separate. The individual remains Cyprus tax resident and is taxed on worldwide income as before. What changes is that Special Defence Contribution starts to apply to dividends and interest.

Can someone with a Cyprus domicile of origin claim non-domiciled status?

The regime is directed at individuals whose domicile of origin lies outside Cyprus. Someone with a Cyprus domicile of origin is generally treated as domiciled in Cyprus, and the paid extension is likewise available to those with a foreign domicile of origin.

Is there a minimum number of employees in Cyprus law?

No. The residency test is management and control, and it contains no headcount threshold. Any figure quoted as a universal minimum describes one company's circumstances rather than a rule.

Can a holding company have no employees at all?

Many do, and that can be proportionate where the entity's function is governance rather than operations. What it cannot lack is genuine decision-making in Cyprus, evidenced by a resident board that actually considers and minutes the decisions put to it.

Does hiring in Cyprus fix a weak substance position?

Only where the people hired perform functions that were previously performed elsewhere. Adding administrative staff while commercial decisions continue to be taken abroad increases cost without addressing the finding.

Can I outsource everything to a licensed provider?

Administrative functions, yes. Judgement, no. A director must genuinely direct and a nominee who signs without deliberating produces paperwork rather than management and control, which is what the test is actually looking for.

The exclusion is evidential rather than categorical: a licence bought for one product and evidenced as used on it stands on different ground from a company-wide subscription spread across everything.

Is the 80 percent deduction applied to revenue?

No, and this is the most common error in the whole calculation. The nexus fraction is applied first, converting overall income into qualifying profit, and the 80 percent deduction applies to that qualifying profit. Applying the deduction to revenue overstates the benefit substantially.

What is the uplift for?

It allows up to 30 percent of qualifying expenditure to be added to the numerator, capped at the amount of non-qualifying expenditure actually incurred. It exists so a company that acquired an asset or used some related-party development is not permanently excluded. It can never take the fraction above one.

Does marketing spend affect the fraction?

No. Marketing expenditure and general overhead are not expenditure on the intangible asset and enter neither side of the fraction. They reduce taxable profit through the ordinary deduction rules instead.

Is the fraction recalculated each year from that year's spending?

No, it is cumulative over the life of the asset. That is why a company beginning with a poor fraction improves it gradually by funding development itself, and why a company that reaches a high fraction and then shifts development to a related party will see it decline.

Can I become tax resident part way through a year?

Cyprus residency is determined for a whole tax year, which is the calendar year, rather than from a date within it. The question is therefore whether the conditions are met across that year, not when you arrived.

Do I have to file a Cyprus tax return if I earn nothing here?

From the 2026 tax year, yes, if you are Cyprus tax resident and have passed your 25th birthday but not your 71st by 31 December. The obligation attaches to residence and age rather than to income, so a year with income arising entirely abroad still produces a return.

Do I need to buy property in Cyprus?

Only the 60-day route requires a permanent residence, and it can be rented rather than owned. What matters is that the property is available to you throughout the tax year.

Is a tax identification number the same as a tax residency certificate?

No. A tax identification number registers you with the Tax Department. A tax residency certificate is a separate document confirming residency for a specific year, and it is issued only where the conditions for that year are satisfied.

What if my home country still treats me as resident?

Since 1 January 2026 that no longer disqualifies you from the Cyprus 60-day rule. Where both states claim you, the applicable double tax treaty tie-breaker decides, working through permanent home, centre of vital interests, habitual abode and nationality in that order.

Do Cyprus service providers need a licence?

Yes. Company administration, directorships and registered office services are regulated. Licences are issued and supervised by CySEC, by ICPAC for accountancy firms, or by the Cyprus Bar Association for law firms, and the register is public.

What are Doviandi's registration and licence numbers?

Doviandi Limited is registered in Cyprus under company number HE331078 and holds ICPAC practising certificate number E645/F/2014. Both can be checked independently, at the Registrar of Companies and with ICPAC respectively.

Should onboarding involve this many questions?

Customer due diligence on identity, source of funds and source of wealth is a licence obligation, so every licensed provider has to do it and the answer is the same everywhere. A simple file can be completed quickly. What matters is that it was completed, because it is the file a bank or an authority examines later.

What should I compare between providers?

The total recurring annual cost of administration, directorship, registered office, accounting, audit and filings, together with what falls outside it. Formation fees are the smallest and least variable part of the relationship.

Can I ask for a director who simply signs what I send?

No provider can lawfully offer that. A director owes duties to the company and can decline to act where an instruction would breach them, and a board that signs without considering matters produces no evidence that decisions were taken in Cyprus.

How do I check whether a Cyprus provider is up to date?

Ask what the corporate tax rate is and what the intellectual property regime delivers. The rate rose to 15 percent on 1 January 2026, so the regime lands nearer 3 percent than the 2.5 percent quoted under the old rate, and stamp duty was repealed on the same date. A provider still quoting 12.5 percent, 2.5 percent without qualification, or stamp duty is not tracking the legislation they propose to advise you under.

Can a Cyprus provider guarantee a bank account?

No. The bank decides on its own criteria after its own review, and the same is true of the Registrar, the Tax Department and the Migration Department. A provider can commit to the standard of the file and to presenting it. One guaranteeing the outcome, or the date, is describing a decision that is not theirs to make.

How long does it take to incorporate a Cyprus company?

Name approval takes three to four business days, or none where the name is pre-approved, and the Registrar then takes seven to ten working days. Those are observations of how long the institution has been taking rather than commitments, and banking runs on its own timetable afterwards.

Does the provider need to be in Cyprus?

The licensed entity and the people exercising the directorship do. That is what the licence supervises, and it is also what supports the management and control position if the company's residence is examined.

Does a residence permit get me a tax residency certificate?

No. Immigration permission and tax residency are separate. The certificate is issued by the Tax Department on the basis of the residence tests in the Income Tax Law, not on the basis of a permit.

How long is the certificate valid?

It confirms residence for a specified tax year. It is not a permanent document, so a structure relying on treaty relief needs it renewed for each year the relief is claimed.

Can a company get one?

Yes. A Cyprus tax resident company can obtain a certificate confirming its residence, which is what a foreign payer will ask for before applying a treaty rate to a payment made to it.

What delays the application most often?

Outstanding returns. The department is being asked to confirm a position for a year whose filings it has not received, and the application waits until the record is complete.

Can I get one for the year I arrived?

It depends on whether you satisfy a residence test for that whole tax year. Someone arriving late in the year may not, which is one reason the timing of a move within the calendar year is worth planning.

Cyprus is 15 percent now. Is it still worth it?

For most of our clients the rate was never the main reason. The participation exemption on incoming dividends, no withholding on distributions out, gains on securities outside the corporate charge, the intellectual property regime at roughly 3 percent at full nexus, and full EU and treaty access do more work than the headline rate ever did. Fifteen percent also puts Cyprus at the Pillar Two floor rather than below it, which removes a problem rather than creating one.

Will my home country tax the Cyprus company anyway?

It depends on their controlled foreign company rules and on where the company is genuinely managed, which is why substance and the founder's own residence are part of the same question. We build the Cyprus side to withstand that examination and tell you exactly what to put to an adviser at home.

Does Pillar Two apply to us?

Only above the consolidated revenue threshold, which most privately held groups are nowhere near. Checking is quick and it is worth doing early, because for a group that is close, it changes which options are worth considering at all.

Can you work with our existing advisers?

Routinely, and it is the arrangement that produces the best result. We hold the Cyprus position and they hold theirs, and the coordination between the two is part of what we do rather than something left to you to manage.

Does software qualify for the Cyprus IP Box?

Copyrighted software is a qualifying asset. Marketing intangibles such as brands, trademarks and image rights are not. What decides the size of the benefit is not whether the asset qualifies, but how much of the development the owning company paid for itself.

What is the effective tax rate?

Roughly 3 percent on qualifying profits at full nexus. The 2.5 percent figure still widely quoted was correct while corporation tax was 12.5 percent, and corporation tax has been 15 percent since 1 January 2026. Below full nexus the effective rate rises in proportion.

Our developers are not in Cyprus. Does that break the structure?

No. The fraction follows expenditure rather than location, so development the owning company contracts from unrelated parties counts wherever those parties are. What compresses it is development funded by a related party, and the cost of buying an asset in.

We already own the intellectual property elsewhere. Can it be moved to Cyprus?

Usually. Moving it is a disposal in the country it leaves, which is a question for your advisers there. On the Cyprus side we coordinate the valuation, draft the assignment or contribution agreement and make the filings. The acquisition cost enters overall expenditure without improving the qualifying side, so we model what that does to the fraction over the following years before anything moves.

Is it better to move the asset or move the company?

Moving the company is usually better where it is possible. Nothing changes hands, so on the Cyprus side there is no valuation, no consideration to support and no acquisition cost sitting in overall expenditure, and the asset's expenditure history stays with the same entity. Whether the origin jurisdiction charges the company on its way out is a question for your advisers there, and it is sometimes what decides the route.

What does the transfer do to our effective rate?

In the first years, more than most people expect. The purchase price counts against the fraction rather than for it, so the rate starts well above the 3 percent figure and comes down as the Cyprus company funds its own development. We model that curve before the transfer, not after.

Who values the asset?

An independent valuer, and that independence is the point. A related party transfer priced by the parties themselves is the arrangement most likely to be revisited later. We instruct the valuer, assemble what they need and carry the result into the corporate documents and the filings.

Will the country we are leaving charge us on the way out?

Some do, and where the answer is yes it can outweigh the Cyprus benefit for several years, so it is worth establishing before the transaction is designed. That answer comes from your advisers in that jurisdiction. We tell you what the Cyprus side is worth so the two can be weighed against each other.

Is there a double tax treaty between Australia and Cyprus?

No. None is in force. Negotiations have been announced but nothing has been concluded, so there is no tie-breaker to resolve a dual residence claim and no treaty relief on cross-border payments.

What is CGT event I1?

It happens when you cease to be an Australian resident, and treats assets that are not taxable Australian property as disposed of at market value at that moment. The gain goes into your final Australian return.

Can I choose to defer the Australian exit charge?

Yes, by election. It applies to every affected asset or none, and the assets covered are treated as remaining taxable Australian property until you sell them or become an Australian resident again.

Is deferring the better option?

It depends on how much growth you expect and over what period. Deferring avoids paying now and keeps the whole portfolio inside the Australian capital gains net, which for a rapidly appreciating shareholding can be considerably more expensive in the end.

Does the absence of a treaty make the move impossible?

No. It removes the mechanism that would resolve a conflict, which raises the standard the Australian departure has to meet. The move is done on clarity rather than on argument.

Does the French exit tax apply if I move to Cyprus?

The assessment is made where the thresholds are met. Because Cyprus is an EU member state, payment is ordinarily deferred rather than collected at departure, which is a materially better position than a move to a third country.

What are the thresholds for the French exit tax?

What the board decides is the corporate matters that belong to a board.

Does appointing a resident director make the company Cyprus tax resident?

Not on its own. Residency follows where management and control are actually exercised, which is a question about conduct rather than about who signed. A board that meets, considers and minutes supports it. An appointment that exists only on the register does not, and the difference is visible in the records.

Will my name be on any public record?

Not the public share register, where a nominee holds under a declaration of trust. Beneficial ownership is reported to the beneficial ownership register in the ordinary way, and disclosed to us and to your bank. That is the design of the system rather than a limitation of the service.

Can you be a signatory on the company's accounts?

Yes, for payment instructions you approve in writing, each one individually. No discretionary authority over your money is held at any time. It is the arrangement most useful to owners who are not in Cyprus and want payments to run without waiting on their own availability.

Does a nominee director control my company?

No. Shareholders retain their rights and the commercial direction of the business. What the director controls is whether they will personally execute a given act, which they must decline if it would breach a duty owed to the company.

Does an indemnity protect the nominee and let them sign anything?

An indemnity allocates cost between the shareholder and the provider. It does not displace the duties the director owes to the company, and it does not make a decision proper that would otherwise be improper.

Does appointing a nominee director hide who owns the company?

No. Beneficial ownership is reported to the register and is known to the provider, the bank and the authorities. The nominee changes who appears on the board, not who is identified as the ultimate beneficial owner.

Is a nominee director enough for economic substance?

Only if the director genuinely participates. The management and control test examines whether decisions were actually taken in Cyprus, so a director who receives resolutions for signature adds a name to the register without changing where the company is directed from.

Is a power of attorney cheaper than a nominee director?

They are not substitutes, so the comparison does not hold. A power of attorney creates no board seat and provides no evidence that the company is managed in Cyprus, which is usually the reason a directorship is being considered.

Can I run my Cyprus company under a general power of attorney from abroad?

You can execute documents that way, and it evidences that the company is directed from where you are. That is directly adverse to the management and control position and to any treaty tie-breaker argument.

Does a nominee director take control of my company?

No. Shareholders keep their rights and the commercial direction of the business. What the director controls is whether they will personally execute a given act, which they must decline if it would breach a duty owed to the company.

Can I have both?

Yes, and that is the usual arrangement. A functioning Cyprus board provides the substance, and narrow powers of attorney handle specific acts where a signatory cannot attend.

What makes a power of attorney acceptable?

Scope, duration and holder. Narrow, time-limited and granted to a professional for a defined purpose is ordinary. Broad, indefinite and granted to the non-resident owner is the version that creates evidence against the structure.

Does the notional interest deduction apply to all my share capital?

No. It reaches only new equity introduced on or after 1 January 2015. Equity already in the company before that date does not qualify.

Is any interest actually paid?

No. The deduction is notional. Nothing leaves the company; a computed amount is deducted against taxable income as though the equity had been borrowed.

What limits the size of the deduction?

A cap of 80 percent of the taxable profit derived from the assets that the equity financed. Because it is measured against those assets rather than total company profit, equity deployed unprofitably produces little deduction regardless of the amount.

Can it create a tax loss?

No. The deduction cannot create or increase a loss, and any unused amount is not carried forward.

Can I capitalise a shareholder loan to claim it?

Anti-abuse provisions address arrangements without genuine commercial purpose or entered into principally to obtain the deduction. Whether a particular capitalisation qualifies depends on the commercial reason for it and on whether the funds are genuinely new to the group.

How long does a Cyprus corporate account take?

Weeks rather than days, and it is normally the longest step in setting up. The determining factor is the completeness of the file rather than the institution.

Does a bigger deposit help?

No. A large opening deposit attracts more scrutiny of its origin rather than less, so it tends to extend the review rather than shorten it.

Does a Cyprus company have to bank in Cyprus?

No. An account with a bank or a licensed electronic money institution elsewhere in the EU is a workable answer, and is frequently arranged alongside a Cyprus application rather than after one fails.

Why does the bank ask what the provider already asked?

Because it is a separate regulated institution running its own customer due diligence. The provider's file does not discharge the bank's obligation, and the bank's questions extend further into expected activity.

Does substance affect the banking application?

Considerably. A company with premises, directors who genuinely act and real Cyprus activity has an obvious answer to why it banks here. One with no connection beyond registration does not, and that shows.

Are foreign dividends taxable in Cyprus?

In most cases they are not. Dividends received by a Cyprus tax resident company from a foreign company are exempt unless both anti-avoidance limbs are met: the payer is more than half engaged in activities producing investment income, and the foreign effective tax rate on the distributed profit is below the threshold, set at 7.5 percent from 2026.

Does a low tax subsidiary automatically lose the exemption?

No. Both limbs must be satisfied for the exemption to be denied. An active trading subsidiary in a low tax jurisdiction fails the first limb and keeps the exemption, and a passive subsidiary in a normally taxed jurisdiction fails the second and also keeps it.

What happens if the exemption does not apply?

The dividend is charged to Special Defence Contribution rather than to corporate income tax. That rate is 5 percent from 1 January 2026, reduced from 17 percent, so the cost of failing the test is materially lower than it was under the previous regime.

Does selling to customers abroad create a permanent establishment?

Generally no. A taxable presence is created by a fixed place of business or by a dependent agent habitually concluding contracts, not by where customers are located.

Can one remote employee create a permanent establishment?

Yes, in some circumstances. If they habitually conclude contracts or play the principal role leading to their conclusion, the dependent agent limb can be satisfied by a single person.

Does a permanent establishment mean my company is no longer Cyprus tax resident?

No. The company remains Cyprus tax resident. What changes is that another country may tax the profit attributable to the presence there, and the company acquires filing obligations in that country.

Is a home office a permanent establishment?

It can be, depending on the jurisdiction and on whether the company requires or effectively expects the work to be performed there. Occasional home working is treated differently from a home used as the person's regular base for the business.

Do preparatory activities count?

Activities of a preparatory or auxiliary character are excluded, though the scope of that exclusion has narrowed under recent treaty developments. Whether a specific function qualifies depends on its role in the business as a whole.

Can any company redomicile to Cyprus?

No. The departing jurisdiction must permit continuation abroad and the company's own constitution must allow it. Many jurisdictions do not permit it, in which case the alternative is a new Cyprus company and a transfer of assets.

Does the company keep its contracts and bank accounts?

Yes. The legal person survives the move, so contracts, licences, intellectual property and banking relationships carry over rather than needing assignment or novation. Banks still run their own review.

Will the country I am leaving tax the move?

It may. Several jurisdictions treat migration as a deemed disposal of company assets, and the EU anti-tax avoidance directive requires member states to operate exit taxation for companies. This is the question to answer before starting.

Is the company registered in two places at once?

Briefly. After the temporary certificate of continuation is issued in Cyprus, the company remains registered in its original jurisdiction until deregistration there is evidenced to the Cyprus Registrar.

Why redomicile instead of setting up a new company?

Chiefly to preserve history. Contracts and licences continue, and for intangible assets the expenditure history is retained, which matters under the IP Box because self-developed assets are treated far better than acquired ones.

Is rental income now tax free in Cyprus?

No. The 2026 reform abolished the Special Defence Contribution on rents. Income tax for an individual, or corporate income tax at 15 percent for a company, continues to apply, as does GESY up to the annual ceiling.

Does the abolition help a non-domiciled resident?

Very little. Non-domiciled residents were outside the Special Defence Contribution already, so the charge that was removed was not one they were paying.

What can I deduct from rental income?

A statutory 20 percent of gross rents, without needing to evidence it, plus capital allowances on the building and interest on borrowing used to acquire the property. Land does not attract capital allowances.

Does GESY still apply to rents?

Yes. Rental income falls within the other income category for GESY purposes and contributions apply up to the annual ceiling of 180,000 euro across all income sources combined.

When is tax on Cyprus rental income actually paid?

In two instalments during the tax year the rent is earned, on 31 July and 31 December. That covers provisional income tax, and the GESY contribution as well where a tenant that is a legal person has not withheld it.

Should I move my property into a company now?

The abolition narrows the gap rather than deciding it. A company gives a flat 15 percent and costs audit and administration annually; holding personally uses progressive bands. The answer depends on the rent level, the borrowing and whether you are domiciled here.

Is it always cheaper to take dividends from a Cyprus company?

On every income level modelled here, yes, with or without a relocation exemption and whether or not the founder is domiciled in Cyprus. The closest the salary route comes is a tie at 500,000 euro of company money with the 50 percent exemption, and only against a domiciled founder. That assumes one source of income, a full year of residence and everything taken by one route.

Does a non-domiciled resident pay anything on a Cyprus dividend?

Yes. Special Defence Contribution does not apply, but GESY of 2.65 percent does, charged regardless of domicile against a ceiling of 180,000 euro across all income sources combined. The dividend has also already borne corporate tax at 15 percent before it was paid, which is why the total charge is around 17 percent rather than nil.

Does the 50 percent exemption make a salary worth taking?

It narrows the gap and does not close it. At 100,000 euro of company money the exemption takes the salary route from 36.3 percent to 22.9 percent, against 17.3 percent for a dividend to a non-domiciled founder. It is a reason to size a salary above the 55,000 euro threshold where one is being paid, rather than a reason to pay one.

Why would I pay myself a salary at all?

Because of something other than tax. A residence permit under the highly skilled route requires employment income of at least 2,500 euro a month. A company without distributable profits cannot pay a dividend. Social insurance contributions build entitlement that dividends do not. And where economic substance matters, a payroll is part of the evidence.

Does paying myself a salary help the Cyprus IP Box?

No. A founder's salary is a related party cost and falls outside qualifying expenditure, so it does not lift the nexus fraction. Development carried out by unrelated third parties is treated differently.

Do I still have to distribute profits within two years?

Not for profits earned from 2026. Deemed dividend distribution was abolished for those profits, so retaining them no longer triggers a charge on a timetable. Profits earned before that date remain subject to the previous rule.

Is the gain on selling my Cyprus company taxable in Cyprus?

Not on a share sale in the ordinary case. Capital gains tax at 20 percent applies only where at least 20 percent of the company's asset value derives from Cyprus immovable property, a threshold reduced from 50 percent for 2026. On an asset sale the answer depends on characterisation, since a capital disposal of IP is generally exempt.

Does it matter whether I am Cyprus tax resident when I sell?

For the Cyprus charge on a share sale, the exemption applies regardless of the seller's residence. It matters a great deal for what happens next, and for whether another country taxes the same gain, which is why residence is usually settled well before a sale.

What if the buyer insists on buying assets?

The position depends on characterisation. A capital disposal of the IP is generally exempt, while a disposal forming part of the company's recurring trade is taxed at 15 percent. Either way the proceeds sit in the company and extraction is a separate step, so a share sale usually remains the simpler outcome for the seller.

Does the exemption apply when a holding company sells a subsidiary?

Yes. A disposal of shares in a subsidiary is a disposal of qualifying securities and falls within the same treatment, subject to the same 20 percent property test. This is one of the principal reasons a holding company is placed above an operating business.

Does relocating shortly before a sale move the gain to Cyprus?

Not reliably. Cyprus law governs only whether Cyprus taxes the gain. Many jurisdictions tax residents on worldwide gains by reference to residence at the disposal date, some impose a deemed disposal on emigration, and several retain a claim for years after departure. The departure analysis has to come first.

Is the gain on selling shares taxable in Cyprus?

Gains on the disposal of securities are exempt from Cyprus tax, with one exception: to the extent the gain derives from immovable property situated in Cyprus, capital gains tax applies. Shares in a company are securities for this purpose.

How long before a sale do I need to move?

Residency is established over a full tax year, which is the calendar year, and neither the 183-day route nor the 60-day route can be satisfied retrospectively. A move begun when a term sheet arrives has already missed that year unless completion falls into the following one.

Does an asset sale get the same treatment as a share sale?

No. The securities disposal exemption applies to the disposal of shares. A sale of the underlying business assets is a different transaction with a different tax profile at company level, which is why the form of the transaction is usually negotiated rather than assumed.

Can a holding company own IP and claim the Cyprus IP Box?

Yes. A Cyprus IP holding company owning the software and licensing it to an operating company is the standard structure for software groups. The deduction is available to it provided it is Cyprus tax resident and the nexus fraction reflects development it funded itself.

Who should employ the developers?

The company that owns the IP, either directly as employees or by contracting unrelated R&D partners in its own name. That is what makes the spending qualifying expenditure for the entity claiming the deduction.

What if the operating company already employs the engineers?

The development is then related-party expenditure and the fraction is diluted, which is a structuring issue rather than a dead end. Moving the contracts and payroll into the IP company improves the position from that point, and because the fraction is cumulative it recovers as qualifying spending accumulates.

Does the royalty between the two companies need documentation?

Yes. It is a related-party transaction requiring arm's length pricing and transfer pricing support. Setting and documenting the rate when the licence is put in place is the straightforward moment to do it.

Can the IP company license to more than one operating company?

Yes, and that is one of the reasons the structure is used. A single IP company can license to operating entities in several markets, which keeps ownership consolidated while local operations sit where the customers are.

What is the difference between source of funds and source of wealth?

Source of funds is where the specific money in a transaction came from. Source of wealth is how your overall net worth was built. Both are required, and answering one does not answer the other.

Is a bank statement enough?

Rarely on its own. A statement shows that money exists and how it moved, not how the wealth behind it was generated. Source of wealth needs evidence of the underlying event: a sale, employment, distributions, an inheritance or accumulated investment.

Why is my provider asking so many questions?

Because the licence requires it. Identifying the beneficial owner and documenting source of funds and wealth is an obligation before acting, applied to every client. A provider who skips it is producing a file that fails at the bank.

Does satisfying the provider satisfy the bank?

No. The bank runs its own independent review and frequently asks for more. This is normally the longest step in setting up, which is why the documentation pack is worth assembling once and keeping complete.

How far back do I need to go?

Far enough to explain how the wealth was accumulated rather than to show a current balance. For a business sale that means the transaction documents; for a career it means a period of earnings and the tax filings that go with them.

Is the Special Defence Contribution part of income tax?

No. It is levied under separate legislation with its own scope. Cyprus does not tax dividends under income tax at all, so for a dividend the defence contribution is the only question.

Do non-domiciled residents pay it?

No. The charge applies to individuals who are both Cyprus tax resident and domiciled in Cyprus. A resident who is not domiciled here is outside it entirely.

What is the current rate on dividends?

5 percent from 1 January 2026 for domiciled residents, reduced from 17 percent. The 17 percent rate still applies to dividends paid out of profits earned to 31 December 2025.

Is rental income still within the charge?

No. The 2026 reform abolished the Special Defence Contribution on rental income. Rental profit remains within income tax or corporate income tax depending on who earns it.

Can I be treated as domiciled even if I am not?

Yes. A deeming rule can treat an individual who has been Cyprus tax resident for a defined number of years within a look-back period as domiciled here, which is why non-dom status is described as running for a period rather than indefinitely.

Does a Cyprus company need an audit?

Every Cyprus company needs an assurance engagement by a licensed statutory auditor, and it is a precondition for the tax return. For financial years beginning on or after 6 February 2026, a small private company below 300,000 euro net turnover and 500,000 euro total gross assets for two consecutive years may opt for a review engagement instead of a full audit.

What is the HE32?

The annual return filed with the Registrar of Companies, with financial statements attached. It confirms the company's officers, registered office and share capital.

What is the penalty for filing the HE32 late?

50 euro on the first day of non-compliance and 1 euro for each further day, capped at 150 euro, plus a 20 euro fee on top of the calculated charge. Partnership annual returns on form Σ5 carry the same structure. Separately, failure to file is an offence for which the company and its officers are liable to a fine of up to 42 euro, and a sustained failure leads to involuntary strike-off and dissolution.

What is the penalty for filing a Cyprus tax return late?

Since 1 January 2026, 150 euro for an individual and 250 euro for a company, rising to 500 euro where the company's turnover or its assets exceed one million euro. Where the Commissioner has served a notice requiring compliance within not less than sixty days, the amounts are 300 euro, 500 euro and 1,000 euro respectively. The scale was set by Law N.243(I)/2025 and replaced the flat amounts that applied before.

What is the penalty for paying Cyprus tax late?

5 percent of the tax due, charged separately from any late filing charge, with a further 5 percent if two months pass from the last day for payment and the failure continues. Interest also runs, at the rate set by decree for each year: 3.5 percent for 2026, 5.5 percent for 2025 and 5 percent for 2024.

What is the penalty for a late VAT return or VIES statement in Cyprus?

100 euro for late submission of a VAT return, plus additional tax of 10 percent of the VAT owed, and 50 euro for late submission of a VIES recapitulative statement. The VAT charge on the amount owed is 10 percent, where the income tax charge for late payment is 5 percent and then a further 5 percent.

Can a Cyprus late filing charge be avoided?

Yes, in two cases introduced with effect from 1 January 2026, both turning on extensions the Commissioner announces publicly. No charge is imposed where a return misses the statutory deadline but is filed within an announced extension. And where the tax shown on the return is paid at the time of submission, and submission falls within an announced extension, neither the charge nor the interest applies.

Does a dormant company still have to file?

Yes. A company with no activity still files its annual return and still files with the Tax Department. Dormancy affects the content of the filings, not the obligation to make them.

What is provisional tax?

An estimate of the current year's taxable profit, paid in instalments during that year with a balancing payment afterwards. Underestimating by more than the permitted margin attracts an additional charge.

Does filing with the Registrar cover the Tax Department?

No. They are separate authorities with separate deadlines and separate filings. A company can be current with one and in default with the other.

When did the Cyprus 2026 tax reform take effect?

It was approved on 22 December 2025, published in the Official Gazette on 31 December 2025, and took effect on 1 January 2026 unless a specific provision states otherwise.

Does the incorporation test mean substance no longer matters?

No. A Cyprus incorporated company is now Cyprus tax resident unless a treaty provides otherwise, which changes the starting point. Where a treaty applies, the tie-breaker still asks where the company is effectively managed, and a foreign authority will apply its own analysis to the same facts.

Did the 60-day rule get easier?

Yes. The condition that the individual not be tax resident in any other state was removed, leaving four conditions. Being claimed as resident elsewhere no longer excludes you from the route, and where two countries both claim you the treaty tie-breaker decides.

Does the lower Special Defence Contribution affect non-domiciled residents?

No. Non-domiciled residents are outside the Special Defence Contribution altogether, so the reduction from 17 percent to 5 percent affects domiciled residents. It narrows the gap between the two positions without closing it.

Is deemed dividend distribution gone entirely?

It is abolished for profits earned from 1 January 2026. Undistributed profits of 2024 and 2025 remain within the rules through to 31 December 2027, so there is a transitional period rather than an immediate end.

Does a Cyprus company need an audit if it is dormant?

Every Cyprus company needs an assurance engagement, and a dormant company still files with both the Registrar and the Tax Department. Dormancy reduces the content of the filings rather than the obligation.

Will a Cyprus company reduce my personal tax if I stay where I am?

Ordinarily not. Your country's controlled foreign company and residence rules continue to apply, and can attribute the company's income to you before any distribution. The personal move is what changes that.

What is the most underestimated cost?

The audit, followed by the recurring administration. Both are annual and both are considerably larger than the formation fee that founders use to compare providers.

Do banks treat Cyprus companies differently?

Some counterparties apply additional diligence to Cyprus entities. A company with genuine substance, clear ownership and a coherent business description meets that without difficulty; one without those is where the friction appears.

When is Cyprus not the right jurisdiction?

Where the value is created by people, premises or property that are not moving. Foreign real estate, locally staffed local operations and teams concentrated in one other country are all cases where the charge follows the activity rather than the registration.

Do we need a local file at all?

Only where controlled transactions in a category pass the threshold: 5 million euro for goods, 10 million for financing, 2.5 million for other categories. Groups below them still need pricing they can defend, and the answer is a shorter piece of work. Establishing which side of the line you are on is part of the first conversation.

We already have a group master file. Is that enough?

Not on its own. The master file describes the group; the Cyprus local file describes what this company does and why its prices are what they are. We prepare the local file and make sure the two do not contradict each other, which is a more common problem than either being missing.

Our agreements are old. Does that matter?

It usually does. Intercompany contracts often describe an arrangement that stopped being accurate years ago, and the gap between the paperwork and the practice is the first thing an examiner finds. We align the two, in whichever direction makes commercial sense.

Is a price that works in Cyprus safe everywhere?

No. A position defensible here can still attract an adjustment on the other side, and a one sided analysis relocates the exposure rather than removing it. We prepare the Cyprus position and set out how it reads from the counterparty side, so your advisers there are working from the same numbers.

Does transfer pricing apply to a small founder-owned group?

It can. The local file threshold is assessed per category, and an intra-group royalty or loan in an ordinary two-entity Cyprus structure can exceed it without the group being large.

What are the Cyprus local file thresholds?

From 2026, 5 million euro for goods, 10 million euro for financing and 2.5 million euro for other categories including services and intellectual property, assessed per category rather than in total.

Is a rate acceptable because both companies agreed to it?

No. Where one owner controls both sides, agreement carries no information about value. The test is what unrelated parties dealing at arm's length would have agreed, supported by benchmarking.

Am I exempt if I am below every threshold?

You are outside the documentation obligation, not outside the principle. The pricing must still be defensible, and a tax authority can still question it.

How does this interact with the IP Box?

The royalty between the IP company and the operating company sets how much income the deduction applies to. That single figure carries both the transfer pricing question and the IP Box outcome, which is why it is worth documenting when the licence is put in place.

I wrote the code before forming the company. Does it belong to the company?

Not automatically. Copyright vests in the individual who wrote it, and nothing transfers by implication, not even where that individual is the sole shareholder. A written assignment is required, and it is one of the things a buyer's advisers check.

Do contractor agreements transfer ownership by default?

Frequently not. Many standard consultancy agreements grant a licence rather than assign copyright, and some are silent, in which case the developer may retain it. Each agreement has to be read before ownership is relied upon, particularly for contributors who have since left.

Can I move the IP into a new company later?

Yes, and it is a normal transaction requiring independent valuation, transfer pricing documentation and arm's length terms. What it does not do is create nexus: acquisition cost enters overall expenditure without improving the numerator, so the transferee starts from a weak position that only future qualifying development repairs.

What if one group company employs the developers and another owns the asset?

That produces related-party expenditure, which enters overall expenditure without entering qualifying expenditure. The group pays the same cash and dilutes the fraction, which is why ownership should follow funding wherever the structure allows it.

Can a Cyprus company own foreign subsidiaries?

Yes, and that is the ordinary use of the structure. Dividends received from those subsidiaries are exempt under the participation exemption in most cases, and gains on disposing of the shares are exempt from Cyprus tax under the securities disposal exemption.

Is a holding company worth it for a single trading company?

Often not. With one operating entity, no outside shareholders and no foreseeable sale, a holding company adds a second set of filings and accounts without performing the functions it exists for. The case strengthens as soon as there is a second subsidiary, an external investor or a likely exit.

Does a holding company need substance if it does not trade?

Yes, and arguably more deliberately than a trading company. A trading entity has customers, staff and contracts to point to. A holding company has a share register, so if the board meets elsewhere and the decisions are taken elsewhere there is little else to demonstrate management and control.

What is withheld when the holding company pays a dividend out?

Cyprus applies no withholding tax on dividends paid to non-resident shareholders, regardless of the destination and whether or not a treaty applies. Where the shareholder is a Cyprus tax resident who is not domiciled, no Special Defence Contribution arises either, leaving only the GESY contribution.

Can I register a Cyprus company myself?

A company can be registered without a provider. What cannot be self-supplied are the regulated services that follow, including the registered office as a service, the provision of directors and secretaries, and nominee shareholding, all of which require a licence.

Do small companies really need audited accounts?

Every company needs an assurance engagement by a licensed statutory auditor, so no Cyprus company escapes it entirely. From financial years beginning on or after 6 February 2026, a small private company below 300,000 euro net turnover and 500,000 euro total gross assets for two consecutive years may opt for a lighter review engagement instead of a full audit. Is the provider fee mostly for the incorporation?

No, and treating it that way misreads the engagement. Formation is a one-off administrative act. The recurring work is the registered office, the directorships, the statutory records and the filing cycle, and that is where the residency evidence accumulates.

Can I switch providers later?

Yes, and companies do. What transfers is the statutory records, the registers and the corporate file, so the ease of a move depends on how completely those were maintained. A poorly administered company is harder to move precisely because the records are incomplete.
