The corporate case, stated as rules

The four provisions

80 percent of qualifying profit deducted

Cyprus deducts 80 percent of the qualifying profit from a qualifying intangible, which for a company whose nexus fraction is intact brings the effective rate on that income to 3 percent. Software qualifies on creation, without registration. The deduction follows research the claimant itself funded, so it rewards where development is paid for rather than where ownership is parked.

Participation exemption

Dividends received from qualifying holdings exempt

Dividend income received by a Cyprus holding company from a qualifying participation is exempt, and gains on the disposal of securities are outside the corporate charge. That combination is what makes the jurisdiction work as a holding location rather than only as a trading one.

Outbound distributions

No withholding tax on dividends to non-residents

Cyprus applies no withholding tax on dividends, interest or most royalties paid to non-residents, subject to the defensive withholding measures in Articles 21A and 33A, which apply to payments to companies in jurisdictions on the EU list of non-cooperative jurisdictions. Profit reaching a foreign shareholder is not otherwise reduced on the way out of Cyprus, whatever the shareholder's own country then does with it.

Every item on this page is available to a company that is genuinely directed from Cyprus, and none of them to one that is not. Substance is not an administrative overhead bolted on afterwards. It is the thing being tested when any of these positions is examined.

Economic substance

What changed on 1 January 2026

Two changes matter to anyone reading older material. The corporate rate rose from 12.5 percent to 15 percent, aligning Cyprus with the global minimum applied to large groups. And the definition of a Cyprus tax resident company was widened: a company incorporated under the Cyprus Companies Law is now treated as Cyprus tax resident unless a double tax treaty provides otherwise, alongside the existing management and control test rather than in place of it.

The second change is easy to misread as making substance optional. It does not. Where a treaty applies, the tie-breaker still asks where the company is effectively managed, and a foreign tax authority assessing the same company will ask the same question. What changed is the starting point, not what happens when the position is examined.
